xtraCASH Program Terms

xtraCHEF’s xtraCASH Program (“xtraCASH”) is designed for you to earn rebates (“Rebates”) from our partners, such as Buyers Edge Platform OpCo, LLC (“Partners”). By participating in xtraCASH, you agree to abide by the following terms and conditions (“Terms”) and our Terms of Service and Privacy Policy, both available on our website and incorporated herein by reference. These Terms supplement our Terms of Service and Privacy Policy. In the event of any conflict between the Terms of Service and these Terms, the Terms of Service will control. Unless otherwise expressly defined below, the capitalized terms used herein have the meaning assigned to them in the xtraCHEF Terms of Service. If you do not wish to be bound by these Terms, you may not join xtraCASH.

1. Changes to Terms, xtraCASH or Rebates

xtraCHEF, in its sole discretion, reserves the right to modify, suspend or discontinue any aspect of these Terms, xtraCASH or any Rebate at any time and for any reason, including the availability of any Rebate or additional Partners. If we modify these Terms, we will post the amended Terms on our website and update the “Last Modified” date above. We may also attempt to notify you in other ways. Unless otherwise stated, the amended Terms will be effective immediately, and your continued participation in xtraCASH after the amended Terms are posted will confirm your acceptance of the amended Terms. If you do not agree to the amended Terms, you must stop participating in xtraCASH, opt out of xtraCASH by emailing cancellation@xtrachef.com, and submit a letter of termination to the applicable Partner in accordance with the Partner’s terms and conditions.

2. Program Period

xtraCASH will continue until modified, suspended, terminated, or converted to another rewards program by xtraCHEF (“Program Period”).

3. Fees

To the extent there will be fees associated with xtraCASH, such fees will be disclosed upon your enrollment in xtraCASH.

4. Eligibility

Your participation in xtraCASH is subject to present and future xtraCASH Terms. To participate in xtraCASH, you must (a) have an active xtraCHEF User Account and Service subscription; (b) be over the age of eighteen (18); and (c) agree to be bound by these Terms and our Partners’ terms and conditions. All or some portions of xtraCASH will be provided to you under separate or additional terms and conditions and are made available on an “as is” and “as available” basis without warranty or indemnity of any kind. To the extent there is a conflict between such separate or additional terms and conditions and these Terms, these Terms shall control.

Notwithstanding anything else contained in these Terms, xtraCASH is void wherever prohibited by law. xtraCHEF assumes no liability for any participation that contravenes the laws or regulations of your state or country.

5. Privacy

You understand that by enrolling in xtraCASH, you consent to the collection, use and disclosure of your personally identifiable information as set forth in our Privacy Policy.

6. Earning Rebates

Once you are eligible for xtraCASH in accordance with Section 4 above, you may begin earning Rebates when you process an applicable invoice through the Service, subject to Rebate availability through our Partners. Rebates will be rounded to the nearest U.S. cent and paid to you in accordance with payment schedules and redemption processes determined by our Partners. All Rebate redemption is managed by our Partners. Please review our Partners’ terms and conditions for more information.

7. Cancellation

xtraCHEF reserves the right to suspend or terminate your User Account and/or your participation in xtraCASH (in whole or in part), with or without notice, if xtraCHEF determines, in its sole discretion, that you have violated these Terms, you have more than one User Account, or that the use of your User Account or your participation in xtraCASH is unauthorized, abusive, deceptive, fraudulent or otherwise unlawful. xtraCHEF may, in its sole discretion, suspend, terminate or combine User Accounts that appear to be duplicative. In the event that your participation in xtraCASH is terminated, you will not be able to redeem any accumulated Rebates.

8. Release

By participating in xtraCASH, you hereby release xtraCHEF, its subsidiaries, affiliates, suppliers, Partners, advisors, service providers and their respective directors, officers, employees, and agents (collectively, “Released Parties”) from any and all liability for any loss, harm, damages, cost or expense arising out of or in any way connected to xtraCASH.

A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that if known by him or her,  would have materially affected his or her settlement with the debtor or released party.
